Gloocall Privacy and Cookie Policy

Revised May 24, 2018.

This Privacy and Cookie Policy (the "Policy") becomes effective on May 30, 2018 for all users, provided that enhanced data protection rights in this Policy required by the EU General Data Protection Regulation (including, without limitation, the "EEA Resident Rights" described in the "Other Important Privacy Information" section) become effective on May 25, 2018 for all EU-resident users who are natural persons. Prior to May 30, 2018, the version of the Privacy Policy remains effective.

We, Gloocall Micca Group,S.L., with offices at Avenida General López Domínguez, ed. Puerto Azul portal 2a Entreplanta of.1, Marbella, Málaga, Spain as the data controller ("Gloocall," "we," or "us"), explain in this Policy how we collect, process and/or use information that we receive via our websites, emails we send, and mobile applications (collectively, the "Platform") that link to this Policy, as amended from time to time. This Policy describes how Gloocall collects, processes, uses, shares and secures the personal information you provide. It also describes your choices regarding use, access, and correction of your personal information. For purposes of this Policy, personal information shall mean any information relating to an identified or identifiable natural person.

This Policy applies only to information we collect, process and use through the Platform. This Policy does not apply to information that we collect through other channels, such as information that we collect offline, from other websites or from emails you send us.

INFORMATION GLOOCALL COLLECTS AND HOW ITS USED

We may store or collect the information you submit to or through the Site, as well as information that we collect in connection with your use of the Site. We use the information to fulfill your requests, provide the Site’s functionality, improve the Site’s quality, personalize your experience, track usage of the Site, provide feedback to businesses that are listed on the Site, display relevant advertising, provide customer support, message you, back up our systems and allow for disaster recovery, enhance the security of the Site, and comply with legal obligations.

Information You Give Us
When you fill out registration forms, submit your request, or provide us with other personal information actively, we collect that information for processing and use in accordance with this Policy. Because we change our offerings and features from time to time, the options you have to provide us with personal information also may change, but here are some examples of situations in which you will have the opportunity to provide personal information to us:

•Creating an account;
•Signing up for email alerts;
•Completing a form related to one of our products or services;
•Contacting us for technical support or customer service;

Depending on how you interact with our Platform, the personal information we collect from you may vary. For example, to create an account we may ask only for an email address and password. In other circumstances, such as when you complete a form related to a particular service offering, we may ask you to provide other information, which may include your name, phone number, and/or postal address. We also collect and store certain information associated with actions you take.

If you connect to the Platform using Facebook, we will receive information that you authorize the Social Networking Site to share with us, which may include public profile information, birthday, current city work, and email address. When we receive this information, it becomes Gloocalls account information for purposes of your use of the Platform. This information also constitutes personal information and is therefore subject to this Policy. Any information that we collect from your Social Networking Site account may depend on the privacy settings you have set with the Social Networking Site, so please consult the Social Networking Site's privacy and data practices. You have the ability to disconnect your Social Networking Site account from your Gloocall account by adapting the privacy settings in your Social Networking Site account. If you come to the Platform through a Social Networking Site, from other websites or with devices that enable third parties to collect information from or about you, such third parties receive information about you subject to their privacy policies.

On certain Gloocall domains, when you set up an individual user account on the Platform, you may create a profile (a "Profile") that will include personal information you provide. At your request, we will create your Profile with information you provide.. When you fill out and save your Profile, your saved Profile can be viewed by prospective companies that you have requested a service from. (For example, when you request a service and companies receives your request and accepts it (only up to 5 companies per time) they will then receive your profile information to be able to contact you to give you the requested service.

If you enter credit card information on the Platform in connection with a purchase, that information is sent directly from your browser to the third-party service provider we use to manage credit card processing and we do not store it on our servers. The service provider is not permitted to use the information you provide except for the sole purpose of credit card processing on our behalf.

Information We Collect Automatically

When you use the Platform, your device is automatically providing information to us so we can respond and customize our response to you. The type of information we collect by automated means generally includes technical information about your computer, such as your IP address or other device identifier, the type of device you use, and operating system version. The information we collect also may include usage information and statistics about your interaction with the Platform. That information may include the URLs of our web pages that you visited, URLs of referring and exiting pages, page views, time spent on a page, number of clicks, platform type, location data (if you have enabled access to your location on your mobile device), and other information about how you used the Platform.

Automated means of data collection include the following:

Cookies And Tracking Technologies.
Technologies such as: cookies, web beacons, locally shared objects (sometimes called "flash cookies"), mobile identifiers and similar technologies ("Cookies") are used by Gloocall and our partners (such as advertising, marketing and analytics providers) ("Ad Partners"). We use Cookies to remember users’ settings as well as for authentication and analytics. These technologies may be used in analyzing trends, administering the Platform, tracking users’ movements around the Platform and to gather demographic information about our user base as a whole. Our Ad Partners may also use such technologies to deliver advertisements to you. You can control the use of Cookies at the individual browser level, but if you choose to disable Cookies, it may limit your use of certain features or functions on our website or service.

Log File Information.
Log file information is automatically reported by your browser or mobile application each time you access a website on our Platform. For example, when you access a Gloocall website, our servers automatically record certain information that your web browser sends when you visit any website. These server logs include information such as your web request, Internet Protocol ("IP") address, browser type, referring / exit pages and URLs, number of clicks, domain names, landing pages, and pages viewed.

Device Information.
We collect information about the device you use to access the Platform, including type of device, operating system, settings, and unique device identifiers, and IP address. Whether we collect some or all of this information often depends on what type of device you’re using and its settings. For example, different types of information are available depending on whether you’re using a Mac or a PC, or an iPhone or Android phone. We collect the device type and any other information you choose to provide, such as user name, geolocation, or email address. We also use mobile analytics software to allow us to better understand the functionality of our mobile software on your phone. This software records information such as how often you use the application, the events that occur within the application, aggregated usage, performance data, and where the application was downloaded from. We do not link the information we store within the analytics software to any personally identifiable information you submit within the mobile application.

How We Use Information

We use the information we collect to provide our services. In order for us to best provide our services (and to help make it feasible for us to do so), it is essential that we are able to collect and use the information as described in this Policy. So it is largely necessary for fulfilling the relationship we have with you, and, where that is not the case, we have a legitimate interest in using the information we collect, including personal information, for these purposes:
•to provide you with personalized content, services offered by Gloocall as well as promotional content and services;
•to customize and improve the features, performance, and support of the site;
•for internal operations, including troubleshooting, data analysis, testing, research, and service improvement (this includes use of your IP address and mobile device information to help diagnose problems with our service and to administer the Platform);
•to communicate with you or initiate communication with you on behalf of third parties through your Gloocall account or through other means such as email, telephone (including mobile phone), or postal mail, including through the use of contact information that you provide to us or (where it is lawful for us to do so) that we otherwise obtain from third-party resources;
•to analyse use of the Platform and improve the Platform;
•to create aggregate and statistical data that does not identify you individually and that we can commercialize (for example, we use mobile device data and IP addresses to gather demographic information);
•for other purposes that you separately authorize as you interact with Gloocall.

When we collect any information that does not identify you as a specific natural person ("Non-Personal Information"), we are permitted to use and disclose this information for any purpose, notwithstanding anything to the contrary in this Policy, except where we are required to do otherwise by applicable law. Examples of Non-Personal Information include: physical location information, demographic information, including gender, dates of birth, ZIP codes, etc.; or any personal information that has been anonymized, aggregated or de-identified. If we combine any Non-Personal Information with your personal information (such as combining your ZIP code with your name), we will use and disclose such combined information as personal information in accordance with this policy. Similarly, if applicable law requires that we treat certain Non-Personal Information as personal information, we will use and disclose this information as personal information in accordance with this policy.

How We Share Information
We only disclose your personal information to third parties as follows:
•We use affiliated and unaffiliated service providers all over the world (including web servers, cloud storage systems, CRM providers, email services, content support teams, marketing partners, advertising partners, and others) to help us deliver our service and run our business subject to strict confidentiality agreements. These companies are authorized to use your personal information only as necessary to provide these services to us;
•In reorganization or sale of our company or assets, your data may be transferred, subject to the acquirer and its affiliates accepting the commitments made in this Policy and compliance with applicable law;
•If you create a service request through the Platform, we will disclose your personal information to up to 5 companies in the category to whom you have requested the service.
•We will otherwise share personal information with your consent.

How We Share Information

The provision of your data via Cookies is voluntary except for those Cookies that we place on your device because we need them for the performance of our Platform and our services.

What types of Cookies do we use?
We use two types of Cookies on the Platform: "session cookies" and "persistent cookies." Session Cookies are temporary Cookies that remain on your device until you leave the Platform. A persistent Cookie remains on your device for much longer until you manually delete it (how long the Cookie remains will depend on the duration or "lifetime" of the specific Cookie and your browser settings).

What are Cookies used for?
Cookies transmit information about you and your use of the Platform, such as your browser type, search preferences, deals that you have click-on and the date and time of your use.

Ad Choices and Managing Cookies

How We Work with Third-Party Ad Partners

When we work with our Ad Partners to serve you personalized, interest-based advertising, we do not share information with them that they can use to identify you or associate with you as a specific individual unless you have instructed us to do so (such as when you fill out a lead form in an ad, or approve your Profile for display to employers). Similarly, if one of these Ad Partners have information about you saved in one of their own Cookies on your browser, they use that information to help us send you a relevant ad, but they do not share with us information that we can associate with you as an individual.

We work with third parties, such as Google Analytics, to provide analytics services that use the Cookies set on your device to measure the performance of advertising and track traffic to Gloocall generally. We have also implemented Google Analytics Demographics and Interest Reporting, which categorizes Cookie information so that we and third-party service providers can better deliver advertisements that are relevant and useful to you on the Platform and various websites across the internet.

Opting Out of Cookies

Gloocall Cookies. We use Cookies that are necessary for us to provide the services you use and you cannot opt out of these Cookies on the Platform. You are able to disable placement of some (but not all) Cookies by setting your browser to decline cookies, though this may worsen your user experience. Additionally, you can also control, manage and/or delete cookies via your browser settings. A useful resource for information about deleting and controlling cookies can be found at AboutCookies.org.

If you enable location data for the mobile version of the Platform (including any version installed as a native application), we may use your location data to serve you geo-targeted results with companies that are local to you. In such instances, we do not share your location with the advertiser or advertising network; rather, we provide the advertiser or advertising network with a means to push ads through to users located in certain areas. You may disable location services at any time in your device privacy settings or the Gloocall native app settings.

Ad Partner Cookies
Here are some options for managing the third-party Cookies used by our Ad Partners:
You can opt out of tracking by Google Analytics and Google Analytics Demographics and Interest Reporting services by visiting Google Ads Settings or by downloading the Google Analytics Opt-Out Browser Add-on.

EEA Resident Rights
If you are a resident of the European Economic Area, you have the following data protection rights:
•If you wish to access, correct, update or request deletion of your personal information, you can do so at any time by contacting us using the contact details provided on https://gloocall.com/contact.
•In addition, you can object to processing of your personal information, ask us to restrict processing of your personal information or request portability of your personal information. Again, you can exercise these rights by contacting us using the contact details provided on https://gloocall.com/contact.
•You have the right to opt-out of marketing communications we send you at any time. You can exercise this right by clicking on the "unsubscribe" or "opt-out" link in the marketing emails we send, or you may contact us using the contact details provided on https://gloocall.com/contact.
•Similarly, if we have collected and processed your personal information with your consent, then you can withdraw your consent at any time. Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect processing of your personal information conducted in reliance on lawful processing grounds other than consent.
•You have the right to complain to a data protection authority about our collection and use of your personal information. For more information, please contact your local data protection authority.
We respond to all requests we receive from individuals wishing to exercise their data protection rights in accordance with applicable data protection laws. Notwithstanding the foregoing, we reserve the right to keep any information in our archives that we deem necessary to comply with our legal obligations, resolve disputes and enforce our agreements.

Choices Regarding Your Personal Information
In addition to your rights outlined above, if you are an individual consumer member of Gloocall, you can manage your account settings in the Profile page on the Platform where we provide you with the opportunity to 'opt-out' of having your personal information used for certain purposes. If you are an Company with an Company Manager Account, you can manage your company account settings in the Profile page on the Gloocall website.
We will send you notifications and if, and to the extent, you have opted-in to promotional communications, or other messages using the contact information (e.g., your email address, your mobile device identifier) you provided to us when you registered or when you requested information from us. You may opt-out of continuing to receive optional messages by following the instructions included in each message. You can accept or reject the mobile notifications on the mobile app.

We will send you service-related announcements when we believe it is necessary to do so. Generally, you cannot opt-out of these announcements, which are not primarily promotional in nature. If you do not wish to receive these announcements, you have the option to deactivate your account. In some cases, you can stop or limit the information we collect by automated means.

Close Your Account
If you'd like to close your Gloocall account, you can do so by using contact pages in the APP or website with your Account email address used on the Platform. When you close your account, you will no longer have full access to, reviews, deals, company profiles and events, and any content you have submitted will be pulled from the display on the Platform, but we reserve the right to keep any information in a closed account in our archives that we deem necessary to comply with our legal or regulatory obligations, resolve disputes and enforce our agreements. If, after you close your account, you wish to know which personal information we keep you can proceed in accordance with your rights set out above.

How Long We Keep Your Personal Information
We keep your personal information only so long as we need it to provide the Platform to you and fulfill the purposes described in this Policy. This is also the case for anyone that we share your personal information with and who carries out services on our behalf. Retention periods can vary significantly based on the type of information and how it is used. Our retention periods are based on criteria that include legally mandated retention periods, pending or potential litigation, our intellectual property or ownership rights, contract requirements, operational directives or needs, and historical archiving. When we no longer need to use your personal information and there is no need for us to keep it to comply with our legal or regulatory obligations, resolve disputes and enforce our agreements, we’ll either remove it from our systems or depersonalize it so that we can't identify you.

Security Safeguards
We employ physical, electronic, and managerial measures to safeguard the information we collect online. However, no company can fully eliminate security risks, so we cannot make guarantees about any part of our services. You are responsible for keeping your user name and password secret. Once you have registered with us, we will never ask you for your password. Please create a unique password for your Gloocall account and do not use it for any other web services or applications. Do not share your password with anyone else.

Tips For A Responsible service request. Please consider the following tips when conducting your service request:
•Do not send money to a prospective company.
•Do not give out financial account information to a company via email.
•If you see a suspicious behavior from a company, please contact us thru Gloocall web and app contact page. If you think you have been the victim of fraud, immediately report the fraud to your local police and contact Gloocall.

Privacy of Minors
To access or use the Platform you must be 13 years of age or older and, if under 18 or the age of majority in your jurisdiction, your use of Platform must be under the supervision of a parent or guardian or other responsible adult. If you become aware that a child has provided us with personal information without parental consent, please contact us. If we become aware that a child under 13 has provided us with personal information without parental consent, we remove such information and terminate the child's account.

Data Controller
The information about you that we collect, process and/or use through the Platform is controlled by Gloocall MiccaGroup, S.L. Gloocall and the services it provides are hosted and provided thru Microsoft Azure cloud service in Europe for the purposes described in this policy. We also rely on European Commission adequacy decisions about certain countries, as applicable, for data transfers to countries outside the EEA. You may reach our data protection officer thru the contact page in the APP or Web page.

Updates to Our Privacy Policy
We may revise this Policy from time to time by posting an updated version on the Platform. This version of the Policy will be effective for you as described at the beginning of the Policy. Further revisions of this Policy will become effective as follows: The revised Policy will be effective immediately for unregistered users and users registering accounts or otherwise acknowledging the Policy on or after the revision date. For other users who registered accounts before the revision date, it will also become effective immediately. However they can object to the new Policy within thirty (30) days after the revision date. If we make a change that we believe materially reduces your rights or increases your responsibilities, we will notify you by email (sent to the email address specified in your account) or by means of a notice on this website prior to the change becoming effective. We may provide notice of changes in other circumstances as well. We encourage you to periodically review this page for the latest information on our privacy practices. Your continued use of the Platform is subject to the most current effective version of this Policy.

2. Bases de contrat

3. 3.3 Le prix à payer par le Membre est le prix que Gloocall et le membre ont accepté de dépendre Sur quel niveau d'adhésion le membre a choisi qui sera signé par les deux parties sur le contrat privé. 4. Durée de l'entente 4.1 Gloocall peut, à tout moment, à sa seule discrétion, avec ou sans motif, résilier le présent Contrat et / ou annuler toute adhésion soumise en vertu du présent Accord.
4.2 Renouvellement automatique: les adhésions seront Renouvelé automatiquement pour les termes successifs d'un an, à moins que le membre ne notifie Gloocall en envoyant un courrier électronique avec les mots «ANNULATION» dans la ligne de sujet à [email protected]. Le membre doit remettre cet avis au moins soixante (60) jours avant le début de la prochaine période de renouvellement.
4.3 Si Gloocall est incapable de traiter le paiement par carte de crédit du membre parce que la carte de crédit a expiré ou est invalide, Gloocall peut contacter le membre pour obtenir des informations de paiement et / ou annuler l'adhésion du membre et / ou exécuter la carte de crédit avec mise à jour Date de péremption.

These terms and conditions (the "Terms") govern your access to and use Gloocall’s websites and mobile applications that link to or reference these Terms. By accessing or using the Site, you are agreeing to these Terms and concluding a legally binding contract with GLOOCALL MICCA GROUP, SL. With headquarters in Marbella, Málaga, Spain (“Gloocall”). Do not access or use the Site if you are unwilling or unable to be bound by the Terms.

1. Definitions
1.1 The following words and expressions shall have the following meanings:
“Gloocall” means Gloocall Micca Group, S.L. a company registered in Spain (Málaga) with registration in protocol nº 547 whose registered in the Chamber of commerce of Málaga, Spain;
“Member” Company registered in the Gloocall Platform, that benefits of all the services depending on the different levels of subscription to Memberships meaning that the entity or individual has accepted these Terms;
“Contract” means Agreement signed by Gloocall and “Member” that binds both parties for a minimum period of time of 1 year; means confirmation by the “member” in writing (by email) that your order has been accepted;
“Site” means http://gloocall.com/;
“Terms” means these terms and conditions.
1.2 In these Terms
1.2.1 words in the singular include the plural meaning and words in the plural include the singular meaning; use of any gender includes the other genders;
1.2.2 headings are for reference only and do not affect the meaning or interpretation of these Terms;
1.2.3 any reference to “persons” includes natural persons, firms, partnerships, companies, corporations, associations, organizations, governments, states, foundations and trusts (in each case whether or not having separate legal personality).

2. Basis of contract
2.1 These Terms shall apply to the different memberships in the Gloocall platform, the differences in between the memberships will be established by private contract. The methodology in sales used to contact future members that finally sign the agreement doesn't change this terms.
2.2 When you complete the order form on the “add a Company” page of this Site and after accreditation process with one of our agents you may click “Make Payment”, or telephone Gloocall with details of your order, or a sales representative finalizes the sale, you have then passed the “Gloocall Accreditation process” which if accepted by Gloocall in accordance with these terms, will result in a binding contract.
2.3 Acceptance of the order and completion of the Contract shall take place on the date of the Member’s Order Acceptance.
2.4 Claims included in the different membership agreements will not expire after the 12 month binding agreement time and can be claimed by member up to 3 years.

3. Payment
3.1 Member agrees to pay all applicable charges under this Agreement
3.2 If placing an order on-line your credit/debit card will be debited with the cost of the memberships when Gloocall sends you an Order Acceptance unless Gloocall notifies you otherwise. Gloocall shall carry out the necessary card verification processes and check availability of the memberships on receipt of the order from the member. In the event that the Gloocall is unable to supply the Memberships for any reason, the Member shall be informed as soon as possible with the option to order alternative Memberships. In the event that the Member chooses not to order alternative Membership then a full refund shall be given if payment has already been made.
3.3 The price to be paid by the Member is the price that Gloocall and member have agreed on depending on what level of membership the member has chosen which will be signed by both parties on the private contract. There are different levels of membership and subsequently different levels of prices.
3.4 Payment can be made by bank transfer, credit card, SEPA, or any other payment method agreed and discussed with the member that is accepted by Gloocall.
3.5 Disputes: If Member has any questions or objections regarding charges to its credit card, or any other payment method it must promptly (within 30 days) notify Gloocall in writing (including electronic mail) and make a reasonable and good faith effort to resolve its objection before it disputes the charge with the credit card processing company or any other institution. Such notice must identify the amount in dispute and must provide in reasonable detail the basis for disagreement with any charges. If (a) Member fails to comply with these requirements BEFORE filing a dispute with the credit card processing company, or (b) member files a dispute with the credit card processing company that is not in good faith, member will be in material breach of this Agreement and Gloocall will be entitled to liquidated damages calculated as follows in addition to any equitable remedies available to it. Liquidated damages may include but not be limited to: all fees accrued up to the termination of this Agreement, plus attorney fees and costs, plus late fees on the foregoing at the legal rate of interest. For purposes of this paragraph, disputing payment because of inability to pay or because of member's failure to submit a proper notice of non-renewal by the applicable date shall not be considered to be a good faith dispute.

4. Term of Agreement
4.1 Gloocall may, at any time in its sole discretion, with or without cause, terminate this Agreement and/or cancel any membership submitted under this Agreement.
4.2 Auto-Renewal: Memberships will be automatically renewed for successive one-year terms, unless member notifies Gloocall by sending an email with the words 'CANCELLATION' in the subject line to [email protected]. Member shall deliver such notice at least sixty (60) days prior to the commencement of the next renewal term.
4.3 If Gloocall is unable to process member's credit card payment because the credit card has expired or is otherwise invalid, then Gloocall may contact member to obtain payment information and/or cancel member's membership and/or run the credit card with updated expiration date.
4.4 Gloocall will also may contact the member in case any other payment method that has been submitted for payment of annual or monthly membership doesn't go thru.
4.5 The cost of the renewed Listing will be the then-current standard rate. member's credit card, or other payment method used previously will be charged the non-refundable renewal fee in accordance with the terms of this Agreement.

5. Service Fees and Payment Terms
5.1 Member agrees to pay all applicable charges under this Agreement, including any applicable taxes or charges imposed by any government entity.
5.2 Fees: member agrees to pay all applicable charges under this Agreement, including any applicable taxes or charges imposed by any government entity. If Member disputes any charge made under this Agreement, member must notify Gloocall by sending a detailed notice of dispute to Gloocall via email at: [email protected] within ten (10) days of the charge; failure to so notify Gloocall shall result in the waiver by member of any claim relating to any such disputed charge. Charges shall be calculated solely based on records maintained by Gloocall. No other measurements or statistics of any kind shall be accepted by Gloocall or have any effect under this Agreement. All payments made under this Agreement are non-refundable.
5.3 Late Payments: Any charges which are past due by more than thirty (30) days shall bear interest at the rate of one percent (1%) per month or the maximum rate permitted by applicable law, whichever is less, and member shall reimburse Gloocall for any costs and fees (including attorneys' fees) incurred by Gloocall in an effort to collect any amount due hereunder.
5.4 If cancellation of payments to Gloocall causes expenses to Gloocall, the member acknowledges that he will be responsible for that cancellation fee.
5.5 The minimum term of registration in Gloocall’s platform is one year, if member decides to finalize agreement earlier and consequently not continue with the payments Gloocall will have the right to pursue the rest of the payments for the remaining months thru legal external support.

6. Registration Process
6.1 In connection with the registration process, Member is required to submit registration information. Gloocall will use such information to create the profile of the member. Gloocall may disclose such information to its third party vendors and service providers in connection with conducting its business and providing and maintaining its site, and, in addition, in the good faith belief that such disclosure is reasonably necessary to (a) comply with the law or legal process; (b) enforce this Agreement; or (c) protect the rights or interests of Gloocall, its affiliates or related parties. Notwithstanding anything to the contrary herein, Gloocall may transfer, sell or assign such information to third parties as a result of a merger, consolidation or combination of Gloocall with another entity.
6.2 “Gloocall Events” means an event, gathering, promotion, contest, meet-up or the like that is published in the Gloocall platform. Member will upload thru their back-end access to Gloocall’s site the “Gloocall Events”, and Gloocall will have to approve them. The Gloocall events has to be presented in a professional way up to the standards of Gloocall. With good quality pictures or images and accurate information. The explanation of the event has to be simple and clear. Gloocall can never be liable for events organized by the business owner.
6.3 "Gloocall Deals" are vouchers, discount codes, subscriptions, which are redeemable for products or services by the Member. The deals have to be presented in a professional way up to the standard of Gloocall, with good quality images or pictures and the information and description of the product or service has to be extensive and accurate. Explaining in detail the product so there are no doubts. Gloocall can never be liable for Deals posted by the business owner. Member will upload thru their back-end access to Gloocall’s site the “Gloocall Deals”, and Gloocall will have to approve them.

7. Security
7.1 Gloocall endeavors to protect the security of Member’s payment information during transmission by using Secure Sockets Layer ('SSL') when receiving payment information through the Gloocall’s website. It is important for Member’s to protect against unauthorized access to your password and your computer. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and Advertiser agrees to accept full responsibility for all activities conducted using Member’s account on Gloocall.

8. Warranties and liability
8.1 To fullest extent permitted under applicable law any indemnities, warranties, terms and conditions (express or implied) are hereby excluded.
8.2 Gloocall shall not be liable in contract, tort (including limitation negligence), pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise out of or in connection with the Terms for any:
8.2.1 economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings); or
8.2.2 loss of goodwill or reputation; or
8.2.3 special or indirect losses suffered or incurred by that party arising out of or in connection with the provision of any matter under these Terms.
8.3 Neither Gloocall nor its suppliers or vendors make any warranties (including, without limitation, implied warranties of merchantability, fitness for a particular purpose and non-infringement), guaranties, representations, promises, statements, estimates, conditions or other inducements, express, implied, oral, written or otherwise. Gloocall obligations under this agreement are subject to delays caused by war, terrorism, act of god, embargoes, or any other circumstances beyond Gloocall's reasonable control. Member acknowledges that Gloocall site is operated on an 'as is', 'as available' basis, and that neither Gloocall nor its suppliers or vendors makes any representations or warranties of any kind whatsoever regarding the placement of listings or links or the performance or security of its web site or services.
8.4 In no event shall Gloocall or any of its vendors or affiliates be liable or responsible for any indirect, incidental, consequential, special or exemplary damages of any kind, including without limitation, lost profits or lost opportunities, even if advised of the possibility of such damages in advance and regardless of the cause of action upon which any such claim is based. In no event shall Gloocall's liability for any reason whatsoever exceed the fees paid to Gloocall by Member under this agreement during the six month period prior to the time the applicable claim accrued.

9. License and Intellectual Property Rights
9.1 Unless otherwise stated, the copyright and other intellectual property rights in all material contained on the web, APP or any other Gloocall product or presentation (including without limitation photographs and graphical images) are owned by Gloocall. For the purposes of this legal notice, any use of extracts from Gloocall’s web or APP or any other material document or presentation other than in accordance with the normal use of Gloocall Web, APP, social networks, for any purpose is prohibited. If you breach any of the terms in this legal notice, your Membership will automatically terminate and you will be responsible for direct or indirect damages you may cause including possible loses.
9.2 Any rights not expressly granted in these terms are reserved.
9.3 Member hereby grants to Gloocall a worldwide, limited, non-exclusive, non-transferable, royalty-free license to: (i) reproduce, distribute, transmit, display, perform, download, cache, store on its servers, and otherwise use Member's listings and submissions, and any portion thereof, including, without limitation, the trademarks, trade names, service marks and logos set forth therein, or as otherwise specified in writing by Member (collectively the 'Member Marks'), for purposes of providing the services covered by this Agreement; and (ii) incorporate in Gloocall's sites links provided by Member as part of its listings and submissions.

10. Miscellaneous provisions
10.1 This Contract shall be governed by the laws of Spain and any dispute will be resolved exclusively in the courts of Málaga.
10.2 The Company shall be under no liability for any delay or failure of the website, or otherwise perform any obligation as specified in these Terms if the same is wholly or partly caused whether directly or indirectly.
10.3 If any portion of these Terms is held by any competent authority to be invalid or unenforceable in whole or in part, the validity or enforceability of the other sections of these Terms shall not be affected.
10.4 These Terms do not create or confer any rights or benefits enforceable by any person that is not a party.
10.5 No delay or failure by Gloocall to exercise any powers, rights or remedies under these Terms will operate as a waiver of them nor will any single or partial exercise of any such powers, rights or remedies preclude any other or further exercise of them. Any waiver to be effective must be in writing and signed by an authorized representative of Gloocall.
10.6 These Terms including the documents or other sources referred to in these terms and conditions supersede all prior representations undertakings and agreements between the Member and Gloocall relating to the use of this Site and APP (including the order form) and sets forth the entire agreement and understanding between the the Member and Gloocall.

11. Reservation of Rights
11.1 Member agrees that Gloocall retains all right, title and interest in and to Gloocall’s technology, services and other intellectual property rights. Member agrees that it will not reproduce, distribute, alter, modify, copy, edit, format, create derivative works of or otherwise use any materials, content or technology provided by Gloocall, except as explicitly provided herein or approved in advance in writing by Gloocall.
